1) Definitions

“Services” means our SaaS-based digital solutions, workflow services, business utilities, online software services, support, and related deliverables. “User” means any visitor or customer using the Services. “Customer” means a paying subscriber or contracting entity.

2) Eligibility & authority

You represent that you are competent to contract under applicable laws of India and that you have authority to bind any entity on whose behalf you use the Services.

3) Account responsibilities

• - You are responsible for maintaining the confidentiality of login credentials and for all activities under your account.
• - You must provide accurate, current information and keep it updated.
• - You must promptly notify us of suspected unauthorized access or security incidents.

4) Acceptable use

You must comply with our Acceptable Use Policy. We may suspend or terminate access for violations, suspected abuse, or security risk.

5) Orders, pricing & taxes

Fees, billing cycles, and payment terms are described in our Subscription & Billing Policy. Prices may be displayed exclusive of applicable taxes unless stated otherwise. You are responsible for applicable taxes, duties, and governmental levies.

6) Payments

Payments are processed through recognised payment partners. We do not guarantee the availability or continued operation of any third-party payment method. You agree to provide accurate billing details and to maintain valid payment methods where subscriptions are enabled.

7) Service availability & changes

We aim to provide reliable Services; however, the Services are provided on an “as is” and “as available” basis. We may update, modify, or discontinue any part of the Services, including for maintenance, security, compliance, or business reasons.

8) Intellectual property

The Services, website, software, content, trademarks, and related intellectual property are owned by Vorynex or its licensors. Except as expressly permitted, you may not copy, reverse engineer, modify, distribute, or create derivative works from the Services.

9) Customer data & privacy

Our handling of personal data is described in our Privacy Policy. You are responsible for ensuring that you have lawful grounds to provide any data to us and for obtaining necessary consents from end users where applicable.

10) Suspension & termination

• - We may suspend or terminate access immediately if required by law, security concerns, suspected fraud, or policy violations.
• - We may suspend for non-payment or chargeback activity, subject to reconciliation and review.
• - Upon termination, your right to use the Services ceases and access may be disabled.

11) Refunds & cancellations

Refund eligibility, review timelines, and cancellation handling are described in our Refund & Cancellation Policy.

12) Disclaimers

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

13) Limitation of liability

To the maximum extent permitted by law, Vorynex shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, or business interruption, arising from or related to the Services. Vorynex’s aggregate liability for all claims in a 12-month period shall not exceed the total fees paid by you to Vorynex for the Services in that period, except where prohibited by law.

14) Indemnity

You agree to indemnify and hold harmless Vorynex, its directors, officers, employees, and affiliates from claims, damages, liabilities, and expenses arising from your use of the Services, your violation of these Terms/policies, or your infringement of third-party rights.

15) Dispute resolution

We encourage informal resolution first. If a dispute cannot be resolved, it shall be governed by the laws of India. Subject to applicable law, courts having jurisdiction over the location of our registered office shall have exclusive jurisdiction. We may also elect to resolve disputes through arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat/venue aligned to the above jurisdiction.

16) Notices

Legal notices and communications should be sent to contact@vorynex.in and must include sufficient information to identify the account and issue. Registered office address may be provided/updated on our Contact page.

17) Changes

We may update these Terms from time to time. Continued use of the Services after changes are published constitutes acceptance of the updated Terms.
